Terms of Use

1. Eligibility

• Do not use the Services in any manner that could disable, damage, or impair the website or interfere with other users’ use.
• Do not use automated systems (bots, scrapers, etc.) to access our Services without authorization.
• Do not transmit harmful code, spam, or malicious content through the Services.

4. Intellectual Property

All intellectual property rights, including but not limited to content, graphics, interfaces, design, and trademarks, are owned by Ugeball or its licensors.

• “Ugeball” name and logo are registered trademarks of Ugeball Private Limited.
• Nothing in these Terms grants you any rights to use Ugeball’s branding or intellectual property without prior written consent.

5. License & Restrictions

Ugeball grants you a limited, non-exclusive, non-transferable license to use the Services for your internal business or personal purposes.

• You may not reproduce, modify, or create derivative works based on the Services.
• You may not resell, sublicense, or distribute any portion of the Services.
• Violation of these restrictions may result in termination and legal action.

6. Third-Party Services

Our Services may integrate or link to third-party services (e.g., Microsoft, Google Cloud, or AWS). These third parties are independent entities and their terms govern your use of their services. Ugeball is not responsible for third-party content, data handling, or practices.

7. Fees & Payments

Some Services may be offered on a paid basis. All fees are due as per the terms communicated at the time of purchase or subscription. You agree to:

• Provide accurate billing and payment information.
• Authorize Ugeball or its payment processor to charge applicable fees.
• Be responsible for any taxes associated with your use of paid Services.

8. User Content

You may upload, submit, or share content through our Services. You retain ownership of your content but grant Ugeball a worldwide, royalty-free, perpetual license to use, host, and display it for service operation and improvement.

• You represent that you have the necessary rights to the content you submit.
• Ugeball reserves the right to remove any content that violates these Terms or applicable laws.

9. Privacy & Data Protection

Your use of the Services is subject to Ugeball’s Privacy Policy. By using the Services, you consent to our collection, processing, and storage of your information as described in that policy.

10. Security & Access

While Ugeball implements reasonable security measures, no system is completely secure. You are responsible for maintaining appropriate cybersecurity measures, including strong passwords and device protection.

11. Limitation of Liability

To the maximum extent permitted by law:

• Ugeball shall not be liable for indirect, incidental, or consequential damages arising out of your use of the Services.
• Total liability shall not exceed the amount paid by you in the preceding 12 months or INR 10,000, whichever is higher.

12. Indemnification

You agree to defend, indemnify, and hold harmless Ugeball and its affiliates from any claims, losses, damages, or expenses (including legal fees) arising out of your use of the Services or violation of these Terms.

13. Disclaimer of Warranties

The Services are provided “as is” and “as available”. Ugeball makes no warranties, express or implied, regarding reliability, availability, or suitability for your intended purpose.

14. Termination

Ugeball may suspend or terminate access to your account at any time if you breach these Terms. Upon termination, your right to use the Services ceases immediately. Sections relating to Intellectual Property, Liability, and Governing Law survive termination.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India. The courts of Chennai, Tamil Nadu, shall have exclusive jurisdiction over any dispute arising from these Terms or your use of the Services.

16. Dispute Resolution

Any dispute shall first be attempted to be resolved amicably within 30 days. If unresolved, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The venue shall be Chennai, India. The proceedings shall be conducted in English.

17. Changes to Terms

Ugeball may modify these Terms periodically. We will update the “Effective Date” accordingly. Continued use of the Services constitutes your acceptance of the updated Terms.

18. Entire Agreement

These Terms, along with any additional policies referenced herein, constitute the entire agreement between you and Ugeball regarding the Services and supersede all prior agreements or communications.
